1. Service Agreement

We will provide you with software development services, as described in our project proposal, scope of work, and any subsequent documents agreed upon by both parties.

2. Fees

We will charge you the fees outlined in our project proposal and scope of work, plus any additional fees agreed upon by both parties. Payment terms will be specified in the invoice, and payment must be made in full before we release the final software product.

3. Confidentiality

We will keep your project information confidential and will not disclose any confidential information to third parties. However, we may disclose your information to our employees or contractors who need it to perform their duties related to your project.

4. Intellectual Property

We will retain all intellectual property rights to the software we develop for you, including source code, design, and documentation. We grant you a non-exclusive, non-transferable license to use the software for your business purposes.

5. Warranty

We warrant that the software we develop for you will conform to the project specifications and be free from defects for a period of 30 days from the delivery date. We will fix any errors or defects within this period.

6. Limitation of Liability

Our liability for any damages arising out of or in connection with our services will be limited to the total amount of fees paid by you. We will not be liable for any indirect, consequential, or incidental damages, including lost profits.

7. Termination

Either party may terminate this agreement with written notice if the other party breaches any material term of this agreement. Upon termination, you will pay us for all services provided up to the date of termination.

8. Dispute Resolution

Any disputes arising out of or in connection with this agreement will be resolved through arbitration in accordance with the rules of the American Arbitration Association.

9. Governing Law

This agreement will be governed by and construed in accordance with the laws of the state of Wyoming, without giving effect to any principles of conflicts of law.

10. Entire Agreement

This agreement constitutes the entire agreement between the parties and supersedes all prior or contemporaneous communications and proposals, whether oral or written.
